Axiom Web Solution

Effective date: 22 October 2026

Website: https://axiomwebsolution.com/

1. Introduction

These Terms & Conditions govern your use of the Axiom Web Solution website and, where expressly applicable, our provision of services.

Axiom Web Solution (“Axiom,” “we,” “our,” or “us”) provides digital solutions that may include website design and development, search engine optimisation (SEO), Google Ads management, digital marketing, AI Search Optimization, conversion rate optimisation, business systems, application development, and automation.

By accessing our website, you agree to comply with the terms applicable to website use. A service engagement is subject to the applicable quotation, proposal, statement of work, or signed agreement. These documents will take precedence over these general terms where they expressly conflict and are intended to govern the particular engagement.

If you do not agree with these terms for website use, please discontinue use of the website.

2. Eligibility and Website Use

You may use our website for lawful purposes and in a manner that does not infringe the rights of others or interfere with our website’s operation.

You must not:

  • Use the website for fraudulent, unlawful, or misleading activities.
  • Attempt to gain unauthorised access to our website, systems, or data.
  • Introduce malicious code or interfere with website security.
  • Copy, misuse, or redistribute protected content without permission.
  • Misrepresent your identity or authority when contacting us.

We may take reasonable steps to protect the website, investigate suspected misuse, or restrict access where legally justified.

3. Our Services

Axiom may provide services including:

  • Website design and development.
  • E-commerce website development.
  • SEO and local search optimisation.
  • AI Search Optimization.
  • Google Ads and digital advertising management.
  • Digital marketing strategy and campaign management.
  • Conversion rate optimisation and landing pages.
  • Custom business management systems and applications.
  • Workflow automation and related technical solutions.

The availability, scope, deliverables, timeline, and price of each service will be specified in the relevant quotation, proposal, package description, or agreement.

A service description on our website is general information and does not automatically form a complete specification for an individual project.

4. Quotations and Acceptance

Quotations and proposals are subject to the terms stated in the relevant document, including any stated validity period.

Before work begins, the parties should agree on the applicable scope, deliverables, fees, payment schedule, responsibilities, and timeline.

A project may be confirmed through a signed agreement, written acceptance, or another documented method agreed by the parties.

Any changes to an accepted scope should be documented and may require an additional fee or revised delivery date.

5. Fees and Payments

Fees, payment schedules, taxes, and applicable expenses will be set out in the accepted quotation, proposal, invoice, or agreement.

Unless otherwise agreed in writing:

  • Website development projects require a 50% deposit before work begins, with the balance payable according to the agreed milestones or before final handover.
  • SEO, advertising management, and other recurring services are payable in advance for the applicable service period where specified in the agreement.
  • Advertising spend paid to Google, Meta, or another advertising platform is separate from Axiom’s management fees unless expressly stated otherwise.
  • Additional work outside the agreed scope may attract additional charges.
  • Applicable taxes will be handled in accordance with Kenyan law and the relevant invoice.

Where an invoice has a payment deadline, the client is expected to pay by that deadline.

If payment is overdue, we may give reasonable notice and, where permitted by the agreement and applicable law, pause work or suspend relevant services until the issue is resolved. A suspension may affect delivery timelines.

We will not treat any additional fee as automatically approved merely because extra work has been requested; the applicable fee should be agreed or otherwise authorised under the existing contract.

6. Website Development Projects

For website development projects, the agreed proposal or statement of work should identify the applicable deliverables, such as page count, features, integrations, design requirements, and support period.

The client agrees to:

  • Provide accurate business information and approved content.
  • Supply images, logos, and other materials they are authorised to use.
  • Provide necessary access credentials and technical information securely.
  • Review drafts and provide feedback within agreed timeframes.
  • Ensure that requested features and third-party integrations are accurately specified.

Delays in receiving content, approvals, access, or other required information may affect the delivery date.

Features, pages, integrations, or revisions not included in the accepted scope may require a separate quotation.

7. Revisions and Project Changes

The number and type of revisions included in a project will be specified in the applicable package or agreement.

A revision is a change to work within the agreed scope. A new feature, substantial redesign, additional page, new integration, or change to an approved requirement may be treated as additional work.

Where additional work is requested, Axiom will explain any relevant cost and timeline implications for agreement before proceeding, except where the existing contract provides otherwise.

8. Client Responsibilities and Approvals

Clients are responsible for reviewing project deliverables, confirming the accuracy of supplied information, and ensuring that materials they provide do not unlawfully infringe third-party rights.

Clients must not provide Axiom with unauthorised access to third-party accounts or information.

Where a client is responsible for approving content, advertising, claims, or other materials, the client should review them before publication or launch.

Axiom may rely on information and instructions supplied by the client unless there is a reasonable basis to question them.

9. SEO, Google Ads and Marketing Results

SEO, advertising, AI Search Optimization, and other marketing services involve factors that Axiom does not fully control.

We do not guarantee:

  • A specific Google ranking or position.
  • Inclusion in Google AI Overviews or other AI-generated search results.
  • A particular volume of website traffic, enquiries, leads, or sales.
  • A specific advertising cost per click or conversion.
  • Continuous advertising approval or uninterrupted platform access.
  • A particular revenue amount or return on investment.

Search engines and advertising platforms may change their algorithms, policies, features, prices, and approval processes.

We will perform the work described in the agreed scope using reasonable professional care, but results may vary depending on competition, budgets, website condition, client responsiveness, market demand, and third-party decisions.

Advertising platform fees and campaign spend remain subject to the relevant platform’s own terms.

10. Third-Party Platforms and Services

Our services may involve third-party products or platforms, including domain registrars, hosting providers, content management systems, payment providers, analytics services, Google, Meta, email platforms, and automation tools.

Such services may have their own terms, fees, technical requirements, and privacy policies.

Unless expressly agreed otherwise, Axiom does not control third-party systems and cannot guarantee their uninterrupted availability, security, pricing, or continued features.

Where a third-party service is required for a project, the parties should clarify who will own the account, pay its fees, and manage renewals.

11. Domains, Hosting, Renewals and Maintenance

Domain registration, hosting, email, maintenance, and renewal arrangements will be specified in the relevant proposal or agreement.

Where Axiom manages these services, the client remains responsible for agreed renewal charges and other disclosed fees.

Axiom will communicate relevant renewal requirements where reasonably practicable and as provided for in the applicable agreement. Clients should ensure that contact details and payment methods for renewals remain current.

A domain name or hosting service may be suspended or expire if the relevant provider’s requirements are not met. Axiom is not responsible for a third-party provider’s actions outside our reasonable control.

Ongoing maintenance, content updates, security monitoring, backups, and technical support are included only where specified in the agreed package or support arrangement.

12. Intellectual Property and Ownership

Each party retains ownership of intellectual property it owned before the engagement.

The ownership, licensing, and transfer of project deliverables will be governed by the applicable proposal or agreement.

Unless otherwise agreed in writing:

  • Client-supplied logos, text, images, and materials remain the client’s property or the property of their respective rights holders.
  • Third-party themes, plugins, software, stock assets, and other licensed materials remain subject to their applicable licences.
  • Axiom retains rights in its pre-existing tools, methods, reusable components, know-how, and materials that are not specifically transferred under the agreement.
  • Ownership or transfer of bespoke deliverables will be subject to the agreed payment and handover terms.

Axiom will not knowingly use client materials beyond the authorised purpose of the engagement, subject to applicable agreements and legal obligations.

Neither party may use the other party’s trademarks or confidential materials beyond the agreed purpose without appropriate permission.

13. Confidentiality

Each party should take reasonable steps to protect non-public business, technical, financial, and project information received from the other party.

Confidential information should be used only for the relevant business relationship and disclosed only to people who need it for that purpose or where disclosure is legally required.

Information that is already public, independently developed, lawfully obtained from another source, or required to be disclosed by law may fall outside this obligation, subject to applicable legal requirements and any separate confidentiality agreement.

14. Data Protection and Security

Where Axiom handles personal information in connection with its services, the parties will comply with applicable data protection obligations.

15. Cancellations, Termination and Refunds

Cancellation and termination rights will be governed by the applicable project agreement and relevant law.

For ongoing services, the agreement should specify the notice period, billing arrangements, treatment of work already performed, and any applicable minimum commitment.

Where a project or service is cancelled:

  • Fees for work already completed or services already provided may remain payable.
  • Approved third-party costs and non-refundable commitments may be payable where contractually agreed and legally recoverable.
  • Any refund due will be assessed under the applicable agreement and law.
  • Work in progress, files, accounts, and deliverables will be handled according to the agreed handover and payment terms.

A deposit is not automatically non-refundable in every circumstance. Its treatment depends on the agreement, work performed, applicable consumer protections, and other relevant law.

Either party may terminate an engagement where the other party commits a material breach and fails to remedy it within a reasonable period after written notice, where such a remedy period is appropriate and permitted by the agreement and applicable law.

These terms do not remove any mandatory rights or remedies available under Kenyan law.

16. Warranties and Service Standards

Axiom will provide the agreed services with reasonable professional care and in accordance with the accepted scope.

Unless expressly agreed in writing, we do not warrant that a website, application, campaign, or system will be uninterrupted, entirely error-free, compatible with every device or third-party service, or achieve a particular commercial outcome.

Any specific warranty, support commitment, service level, or defect-correction period should be documented in the relevant agreement.

Nothing in these terms excludes a warranty or right that cannot lawfully be excluded.

17. Limitation of Liability

To the extent permitted by applicable law, each party is responsible for losses arising from its breach of contract, negligence, unlawful conduct, or other legally actionable acts or omissions.

Neither party will be liable for losses that are too remote or legally unrecoverable. Any agreed exclusions or limits of liability should be set out clearly in the relevant service agreement.

Axiom is not responsible for losses caused solely by circumstances outside its reasonable control, including third-party platform outages, client-provided inaccurate information, unauthorised changes by others, or events beyond reasonable control, subject to applicable law and the particular circumstances.

Nothing in these terms excludes or limits liability where such exclusion or limitation is prohibited by law, including applicable liability for fraud or other non-excludable matters.

18. Indemnity and Client Materials

Each party remains responsible for its own unlawful conduct and breaches of its contractual obligations.

Clients must ensure that materials and instructions they provide are authorised for the intended use. If a third-party claim arises from client-supplied materials or instructions, responsibility will be assessed under the applicable agreement and law.

Any specific indemnity must be expressly agreed in writing and will be subject to applicable law.

19. Events Beyond Reasonable Control

Neither party will be treated as having breached an obligation to the extent that performance is prevented by an event beyond its reasonable control, such as a major infrastructure outage, natural disaster, or government restriction.

The affected party should notify the other party as soon as reasonably practicable and take reasonable steps to reduce the impact.

This clause does not automatically excuse payment obligations for services already provided or other obligations that can reasonably be performed.

20. Changes to These Terms

We may update these website Terms & Conditions from time to time.

The latest version will be published on our website with an updated effective date. Changes to an existing client engagement will be handled in accordance with the applicable agreement and law.

21. Governing Law and Dispute Resolution

These Terms & Conditions are governed by the laws of Kenya, subject to any mandatory legal protections that apply.

If a dispute arises, the parties should first attempt to resolve it through good-faith discussions.

Where a dispute cannot be resolved informally, either party may pursue the remedies available through the appropriate Kenyan courts or another dispute-resolution process agreed in writing.

Nothing in this clause prevents a party from exercising a statutory right or seeking urgent legal relief where appropriate.

22. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

23. Entire Agreement

These website terms do not replace a specific proposal, signed contract, statement of work, or data processing agreement entered into for a particular engagement.

For a client project, the applicable written agreement will determine the specific scope, deliverables, fees, timelines, and other agreed commercial terms.
